Fund Launch LIVE Giveaway: Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT IMPROVE YOUR CHANCES OF WINNING. VOID IN NEW YORK, FLORIDA AND WHERE PROHIBITED.

1. Sponsor

Brains, LLC d/b/a Fund Launch, 3400 N 1200 W, Ste 201, Lehi, Utah 84043 ("Sponsor"). Questions: support@fundlaunch.com.

2. Who can enter

You must be a legal resident of the 50 United States or the District of Columbia, excluding New York and Florida, and at least 18 years old (or the age of majority where you live) when you enter. Employees and contractors of Sponsor, Fund Launch LIVE speakers, and their immediate family and household members cannot win.

3. Dates

The giveaway starts when these rules are posted and ends when the Day 3 check-in window closes on November 12, 2026. Referrals count only if the friend registers by November 11, 2026 at 11:59 p.m. Eastern Time (the "Referral Deadline"). Sponsor's clock is the official clock.

4. How to enter

Register for Fund Launch LIVE for free at fundlaunch.com/live.
Attend the live broadcast on November 12, 2026 (scheduled 1–4 p.m. ET). During the broadcast, Sponsor will show a check-in code and open a check-in window of at least 10 minutes.
Enter the code at fundlaunch.com/live/checkin before the window closes.

Each person gets one entry. Registering more than once or using more than one email address does not add entries and may disqualify you.

5. Referral bonus

Each registrant gets a personal referral link. If the grand prize winner registered for Fund Launch LIVE through your link, you also win a prize (the "Referral Prize"). This applies only if all of the following are true:

You meet the rules in Section 2.
The winner was a new registrant, recorded by Sponsor's system as coming through your link.
The referral was not a self-referral, duplicate, automated or fake signup.

Only the first link a person used counts. There is at most one Referral Prize, and you do not need to attend live to receive it.

6. Drawing and odds

On November 12, 2026, after the check-in window closes, Sponsor will select one winner at random from all eligible check-ins using a computerized random selection. The odds of winning depend on the number of eligible check-ins.

7. Prizes

Grand Prize (one). The winner chooses one of the following:

(a) A fund setup: formation of one U.S. blind-pool fund.
(b) A syndication setup: formation of one U.S. single-asset fund for one deal.

Either setup includes:

The fund LP, GP LLC and manager LLC entities
EINs and registered agent
Private placement memorandum
Limited partnership agreement
Subscription agreement and investor questionnaire
GP and manager operating agreements
Investment management agreement
Standard waterfall and governance options
Initial Form D filing
Review by third-party counsel at no extra counsel fee

Referral Prize (up to one). The same choice and the same setup as the Grand Prize.

Not included:

State filing fees and state securities ("blue sky") filings
Ongoing compliance, fund administration, audit, accounting and tax services
Any other costs not listed above

Value. Approximate retail value is $10,000 per setup. Total approximate value of all prizes is up to $20,000: $10,000 if the winner was not referred, $20,000 if they were.

Prize conditions:

Prizes are provided under Sponsor's standard engagement terms and must be started within 12 months of the drawing.
Prizes cannot be transferred or exchanged for cash.
Sponsor may substitute a prize of equal or greater value.
Winners are responsible for all taxes and will receive an IRS Form 1099 if required.
The prize is formation services only, not investment, legal or tax advice. Each winner is responsible for the lawfulness of their own fund and offering.

8. Referral rewards (not part of the drawing)

Registrants who refer friends by the Referral Deadline earn rewards. These are not based on chance:

3 referrals: replays of the event
5 referrals: a private Q&A with Bridger Pennington after Day 2
10 referrals: a free VIP pass (approximate retail value $97)

How referrals count:

A referral counts when a new person registers through your link and their registration is confirmed.
Duplicate, self-referred, automated and disposable-email signups do not count.
Sponsor may review and adjust counts before sending rewards.

Rewards are sent by email after the Referral Deadline and cannot be transferred.

9. Winner notification

The winner will be announced during the broadcast and contacted by email within 3 business days.
Winners must reply within 7 days and may be asked to sign a declaration of eligibility and a liability release (and, where lawful, a publicity release) within 7 days of receiving it.
If a winner cannot be reached, does not respond, or is ineligible, Sponsor may draw an alternate winner.

10. General conditions

Sponsor may disqualify anyone who tampers with the giveaway, uses automated or fraudulent means, or breaks these rules.
Sponsor is not responsible for technical failures, lost or late entries, or problems with internet service or the broadcast.
If the giveaway cannot run as planned, Sponsor may modify or cancel it and award prizes from eligible entries received before that point.
By entering, you agree to these rules and Sponsor's decisions, which are final.

11. Release and limitation of liability

By entering, you release Sponsor and its affiliates, officers, employees and agents from claims arising from the giveaway or any prize, to the extent permitted by law.

12. Privacy

Information you provide is used to run the event and this giveaway, as described in Sponsor's Privacy Policy. Your referral page shows the friends who registered through your link by first name and last initial.

13. Disputes

These rules are governed by Utah law. Any dispute will be resolved in the state or federal courts located in Utah County, Utah.

14. Winners list

For the names of the winners, email support@fundlaunch.com with the subject "FLL Giveaway Winners" by December 31, 2026.
